1. ACCEPTANCE OF TERMS
By engaging the services of Vela Global LLC, operating as InDirectory Agency, and/or by accessing www.indirectoryagency.com, you agree to be bound by these Terms and Conditions. These Terms apply exclusively to companies and organizations engaging executive talent search services (hereinafter, “the Client”).
2. ABOUT INDIRECTORY AGENCY
InDirectory Agency is an international executive search firm specializing in mid-senior and C-suite placements. We work with companies expanding into Mexico and Latin America, as well as with organizations in the United States, Canada, and other global markets that require executive talent for their operations. We operate under Vela Global LLC (a company registered in the state of New Mexico, United States of America) and hold active registration with Mexico’s Secretaría del Trabajo y Previsión Social (STPS).

3. DESCRIPTION OF SERVICES
These Terms and Conditions apply to executive search and headhunting services for mid-senior and C-suite positions: candidate sourcing and identification, evaluation and presentation of finalist profiles, selection support, and post-placement guarantee. The specific conditions, deliverables, and scope of each project are established in the service agreement signed between the parties.
4. SEARCH PROCESS
The stages, deliverables, and timelines of each project are defined in the service agreement signed with the Client. InDirectory Agency adapts its methodology to the specific needs of each search.
5. FEES AND PAYMENT CONDITIONS
Fees, payment schedules, and commercial terms for each project are established in the service agreement. Failure to meet agreed payment obligations may result in suspension of services.
6. REPLACEMENT GUARANTEE
If the placed candidate does not remain in the position within the first 60 days of their start date (due to voluntary resignation or termination attributable to the candidate), InDirectory Agency will conduct a replacement search at no additional fee. No fee refunds are offered. The guarantee does not apply in cases of organizational restructuring, position elimination, changes to the originally offered employment conditions, or any cause unrelated to the candidate’s performance.
7. CONFIDENTIALITY
Both parties agree to maintain confidentiality regarding: information about the Client’s vacancies and strategies, personal data and employment status of candidates, and InDirectory Agency’s proprietary methodologies and processes. This obligation remains in effect for 2 years after the conclusion of the service.
8. USE OF TECHNOLOGY AND ARTIFICIAL INTELLIGENCE
InDirectory Agency uses technology tools and artificial intelligence to optimize talent sourcing and evaluation. Final decisions always involve professional human judgment. Work sessions may be recorded for documentation purposes, with prior notice to participants.
9. INTELLECTUAL PROPERTY
All content on www.indirectoryagency.com, including methodologies, scorecards, and communication materials, is the exclusive property of Vela Global LLC / InDirectory Agency, protected under the intellectual property laws of Mexico and the United States of America. Reproduction without express authorization is prohibited.
10. LIMITATION OF LIABILITY
InDirectory Agency shall not be liable for: hiring decisions made unilaterally by the Client, candidate performance after the guarantee period has ended, indirect damages, loss of business or lost profits, or circumstances beyond our control. In the event that a direct liability attributable to InDirectory Agency for services specifically rendered is determined through a final legal resolution, such liability shall be limited to the fees actually received for the specific project in dispute.
11. SERVICE CANCELLATION
The Client may cancel the service at any time via written notice. The initial retainer is non-refundable. Cancellations at advanced stages of the process may incur a proportional charge as established in the contract.
12. GOVERNING LAW AND JURISDICTION
These Terms are governed by the laws of the state of New Mexico, United States of America, for clients operating in United States territory, and by the laws of the United Mexican States for operations in Mexico, with jurisdiction in the courts of Mexico City. The parties agree to attempt to resolve any disputes amicably before resorting to legal proceedings.
13. MODIFICATIONS
We reserve the right to update these Terms at any time. Changes will be published at www.indirectoryagency.com/terms-and-conditions and will take effect from the date of publication. Engaging new services after such publication implies acceptance of the current Terms.
